1. Agreement to Terms

By accessing or using AutoInvoice ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

AutoInvoice is an automated invoice processing service that uses artificial intelligence to extract data from invoice files. The Service provides:

• Automated extraction of invoice data (amount, date, vendor name, invoice number)
• Batch processing of multiple invoice files
• Export of extracted data in CSV and JSON formats
• Cloud storage of uploaded invoices
• Processing history and usage tracking

3. User Accounts and Tiers

3.1 Trial Users

Trial users can process up to 10 files with a maximum total size of 5MB without registration. Trial data is automatically deleted after 24 hours.

3.2 Free Tier

Free registered users can process up to 20 files with a maximum total size of 10MB per batch. Files are retained until manually deleted.

3.3 Paid Tiers

• Basic Plan ($10/month): Process up to 100 files with a maximum of 50MB per batch
• Pro Plan ($50/month): Process up to 500 files with a maximum of 200MB per batch
• Premium Plan ($100/month): Process unlimited files with a maximum of 500MB per batch

4. User Obligations

You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Use the Service only for lawful purposes
• Not upload files containing malicious code or viruses
• Not attempt to reverse engineer or compromise the Service
• Not exceed the usage limits of your subscription tier
• Not share your account with others
• Respect the intellectual property rights of others

5. Payment Terms

5.1 Billing

Paid subscriptions are billed monthly in advance. All payments are processed securely through Stripe. We accept major credit cards and support multiple currencies (USD, AUD, EUR, GBP, CAD, SGD, NZD, HKD, JPY).

5.2 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

5.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated 30 days in advance and will apply to subsequent billing periods.

6. Data Ownership and Usage

6.1 Your Data

You retain all ownership rights to your uploaded invoices and extracted data. We claim no intellectual property rights over your content.

6.2 License to Use

By uploading files to the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

6.3 Data Retention

• Trial users: Data deleted automatically after 24 hours
• Registered users: Data retained until manually deleted or account termination
• Account data: Retained for 30 days after account termination for recovery purposes

7. Accuracy and Limitations

Our Service uses artificial intelligence to extract invoice data. While we strive for high accuracy:

• We do not guarantee 100% accuracy of extracted data
• You are responsible for verifying the accuracy of extracted data
• The Service is provided "as is" without warranties of any kind
• We are not liable for any errors or omissions in extracted data

8. Prohibited Uses

You may not use the Service to:

• Process documents you do not have the right to process
• Upload files containing personal information of third parties without consent
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or conduct security attacks
• Resell or redistribute the Service without authorization
• Use the Service for competitive analysis or to build a similar product

9. Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• That the Service will meet your specific requirements
• That defects will be corrected immediately

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount paid by you in the 12 months preceding the claim
• We are not responsible for data loss (you should maintain backups)
• We are not liable for third-party actions or services

11. Indemnification

You agree to indemnify and hold harmless AutoInvoice, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your uploaded content

12. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Abuse of the Service

Upon termination, your right to use the Service will cease immediately. You may export your data before termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Australia.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AutoInvoice regarding the Service and supersede all prior agreements and understandings.
